"LOYALTY MIAMO LOVERS 2024" PROGRAM RULES

1. PROMOTING PARTY

The Promoting Party MEDSPA S.r.l. with legal headquarters in MILAN (MI) – Corso Sempione, 17 Tax Code and VAT number 0322950061 (hereinafter "Medspa") intends to launch the "Loyalty Miamo Lovers 2024" program (hereinafter the "Program") the terms and conditions of which are detailed below (hereinafter "Regulations").

2. TERRITORIAL SCOPE

2.1 The Program offers Customers the opportunity to accumulate points by purchasing Miamo® and Nutraiuvens® branded products:

  • online at www.miamo.com;
  • on websites of authorized third-party retailers;
  • at authorized retailers (physical stores) throughout the national territory and the Republic of San Marino.

2.2 Points can be converted into discounts on purchases of Miamo® and Nutraiuvens® branded products or free products of the same brands.

3. DURATION OF THE INITIATIVE AND EXPIRATION OF POINTS

The "LOYALTY MIAMO LOVERS 2024" rewards program is active from October 1, 2024 to December 31, 2024. Participants can accumulate points until December 31, 2024.

Points accumulated during the calendar year 2024 can be used by March 31, 2025 according to the procedures described in section 6.4 (Use of Points).

After this date, points will be reset and it will no longer be possible to request their credit and/or redemption.

To check the amount of expiring points, the Participant can log into their personal area and check the total accumulated points.

Points accumulated before October 1, 2024 will also be recognized for the purposes of this Program.

This Regulation is valid until December 31, 2024. After this date, it will no longer be effective, except for the right of Medspa to extend it for a period that will be communicated to the Participants.

4. TARGET AUDIENCE

The initiative is aimed at all participating individuals, private buyers of the promoted products, who are adults residing in Italy and/or the Republic of San Marino.

Purchases with an invoice by professional users with a VAT number (reseller) are excluded.

5. GENERAL PROVISIONS AND MODES OF PARTICIPATION

The Promoting Party aims to retain its Customers through a rewards mechanism that allows them to accumulate points to receive discounts or free products as specified below.

Joining the Program is free and will entail for the Participant the total and unconditional acceptance of these Regulations without any limitation.

To participate in the Program, registration is required.

Registration can only be done online at www.miamo.com by entering the required data during registration and is exclusively reserved for adult individuals.

By completing the registration process, the Participant will declare their age of majority without any verification obligation on the part of Medspa. To validate their registration, it will be necessary to confirm their email address, through the link that will be sent after completing the registration form to the declared email address. Without confirmation, the registration will not be concluded and the registration will be considered as not made.

Upon successful registration, the Participant will receive a confirmation email.

The mandatory data required for registration are as follows:

  • First Name
  • Last Name
  • Mobile Number
  • Date of Birth
  • Email
  • Password

The Participant must also accept the Program Regulations (mandatory consent) and express their marketing consent (optional consent). Multiple registrations will not be accepted.

It is the sole responsibility of the Participant to update those mandatory data that are subject to change.

It is prohibited for the same Participant to make multiple registrations with different email addresses and/or phone numbers and/or fictitious names and surnames. In case of violation of this last provision, the Promoting Party reserves the right to exclude the Participant from the Program with consequent zeroing of all points of the profiles referable to the same Participant.

The points balance is available online, in one's account. It should be noted that:

  • It is not possible to accumulate points without being registered in the Program;
  • The amount of shipping costs for online transactions does not entitle to the accumulation of points;
  • Accumulated points are not transferable.

6. MECHANICS

6.1 Accumulating Points with purchase

Every Participant registered in the Program can accumulate points for each purchase of Miamo® and Nutraiuvens® products participating in the initiative (list of participating products available at the link www.miamo.com/media/wysiwyg/miamo/elenco-prodotti-promozionati.pdf). These products can be purchased:

  • online at www.miamo.com
  • at authorized physical retailers
  • on websites of authorized retailers

The updated list of authorized retailers is available on the website www.miamo.com.

To obtain the credit of points related to the purchase, the Participant must access their personal area on the website www.miamo.com and enter, in the dedicated section, the unique 16-character code contained or imprinted inside the package, also specifying the purchase mode. Points will be credited exclusively following the completion of the point-loading procedure previously described. The credit of points will be recognized from the date of completion of the credit procedure and not from the date of purchase.

For the purpose of accumulating points, all products branded Miamo® and Nutraiuvens® that contain the alphanumeric code of 16 characters valid for the attribution of points are considered valid. The code may alternatively be printed on a card contained in the product packaging or imprinted inside the packaging.

The list of products subject to the initiative may be subject to updates and an updated version is available at the following link www.miamo.com/media/wysiwyg/miamo/elenco-prodotti-promozionati.pdf detailing the points accumulable prior to the purchase of the respective product.

6.2 Accumulating Points with review

Each Participant can also accumulate points by reviewing on the website www.miamo.com each product purchased and subsequently registered on their profile by entering the unique 16-digit code present inside the product packaging.

It will thus be possible to review the same product more than once.

Each review, relating to products for which the 16-digit code has been entered, entitles to receive 20 points.

The points deriving from a product review will be credited to the Participant's profile within 30 days from the date the review was made on the website www.miamo.com.

It should be noted that the last review useful for accumulating points for this initiative can be made by the Participant until December 31, 2024.

6.3 Accelerators

The Promoter reserves the right to propose more favorable conditions for participants such as, for example, special initiatives that will provide the attribution of additional points in relation to the purchase of certain products, or during particular promotional periods.

Such conditions will be made known to the recipients with the modalities provided for the communication of the main initiative and will in any case be made known at the following link: www.miamo.com/acceleratori-punti.

6.4 Use of Points

Until March 31, 2025, the Participant may use the points to:

a) Obtain free products branded Miamo® and Nutraiuvens®. in this case, to request the free product, it is enough to log in and access the "Choose your gift" section. The complete catalog of products from which to choose the free product consists of the list of Miamo® and Nutraiuvens® branded products available at the following link www.miamo.com/media/wysiwyg/miamo/tabella-prodotti-conversione-punti.pdf which also specifies the amount of points necessary to obtain each gift. Multiple gifts of different types can be requested within the same transaction, up to the maximum of points accumulated by the Participant.

b) Pay for online purchases exclusively on the website www.miamo.com, within the maximum limit of 50% of the value of the cart net of discounts and shipping costs. The points used will be deducted from the total points owned by the account. The Participant can independently decide when to use the accumulated points. It is therefore possible to conclude a purchase without using the accumulated points or using them only partially in the minimum amount of 10 points corresponding to a discount of €1.

For example, in the case of using points to pay for online purchases, considering that every 10 points correspond to €1.00 discount, it is represented that:

  • Points accumulated 300 → correspond to €30.00 discount which, if the Participant wishes to use them all, can be used for a cart of at least €60.00
  • Points accumulated 1000 → correspond to €100.00 discount which, if the Participant wishes to use them all, can be used for a cart of at least €200.00
  • Points accumulated 1000 → can also be used partially in relation to a cart of value less than €200.00, always with the limit of 50% of the cart value: for example, if the value of the cart were equal to €168.00, a maximum of 840 points could be used.

The vouchers will therefore be usable within the limit of 50% of the value of the cart.

It will not be possible within the same transaction/cart to use the points with both of the above-described methods.

In the event the Participant decides to use the points to obtain free products (i.e., according to the paragraph a) that precedes) they may opt for:

RECEIVE IT AT HOME:

  • Add the product to cart, complete the order by entering any other products to purchase, finalize the transaction. Once the transaction is concluded, the points balance will be deducted of the points value corresponding to the selected free product(s) as indicated at the following link www.miamo.com/media/wysiwyg/miamo/tabella-prodotti-conversione-punti.pdf. In the event that there is at least one free product in the cart, no shipping costs will be charged.

PICK IT UP AT PHYSICAL STORES:

  • in this case, it will be necessary, once this method is chosen, to insert only the free product in the cart and conclude the transaction.
  • Once the transaction is concluded, the points balance will be deducted of the points value corresponding to the selected product as indicated at the following link www.miamo.com/media/wysiwyg/miamo/tabella-prodotti-conversione-punti.pdf.
  • An email containing a QRCode related to the selected product will be sent to the email address of the Participant, which must be shown to the staff of the authorized retailer within a maximum of 30 days from the generation for the purpose of validation, after which the QRCode can no longer be used. The Participant can also show the QRCode by accessing their account, in the "My gifts" section. The QRCode will be valid for 30 days from the date of its generation. After this period of time, the QRCode will no longer be valid and the gift can no longer be picked up. Before proceeding with the transaction and the generation of the respective QRCode, the Participant is invited to verify the actual availability of the desired product at the authorized retailer(s) where they intend to pick up the gift. The Promoting Party cannot be held responsible for the unavailability of the selected product at the authorized retailer where the Participant will go.

If, at the time of the validation of the QRCode, the selected product is not available on site, the Promoting Party undertakes to deliver the chosen gift at the point of sale where the validation occurred within the legal terms, however within 180 days from the reservation. The reservation cannot undergo changes.

Once generated, QRCodes cannot be canceled by the Participant nor can they be refunded.

7. PROGRAM STATUS

The Program provides the possibility of reaching three different statuses calculated based on the total points accumulated by the Participant during the calendar year 2024 (January 1, 2024 – December 31, 2024). The program statuses are as follows:

  • SILVER: status assigned at the time of registration in the Program
  • GOLD: within a maximum of 24 hours after reaching 300 points
  • PLATINUM: within a maximum of 24 hours after reaching 1000 points

Each level comes with progressively incremental benefits, as specified below.

All statuses entitle to accumulate points under the terms and conditions of this Program.

STATUS SILVER

Entitles to

  • 1 Welcome Bonus of 15% valid on the first purchase on the website www.miamo.com or at the physical stores of authorized retailers, not combinable with other ongoing promotions
  • A 20% discount on a single transaction on the occasion of their birthday, not combinable with other ongoing promotions, for purchases/orders made on the website www.miamo.com or at the physical stores of authorized retailers;
  • Up to 3 free samples with every order made on the website www.miamo.com;
  • Early access to a selection of promotions: the details and timings will be indicated in the dedicated communication;

STATUS GOLD

Entitles to

  • A 10% discount valid on all orders/purchases made on the website www.miamo.com or at the physical stores of authorized retailers, not combinable with other ongoing promotions;
  • A 20% discount on a single transaction on the occasion of their birthday, not combinable with other ongoing promotions, for purchases/orders made on the website www.miamo.com or at the physical stores of authorized retailers;
  • Free shipping on orders made on the website www.miamo.com;
  • Up to 5 free samples with every order made on the website www.miamo.com;
  • Early access to a selection of promotions: the details and timings will be indicated in the dedicated communication;

STATUS PLATINUM

Entitles to

  • A 20% discount valid on all orders/purchases made on the website www.miamo.com or at the physical stores of authorized retailers, not combinable with other ongoing promotions
  • A 25% discount on a single transaction on the occasion of their birthday, not combinable with other ongoing promotions, for purchases/orders made on the website www.miamo.com or at the physical stores of authorized retailers;
  • Free shipping on online orders made on the website www.miamo.com;
  • Up to 7 free samples with every online order on www.miamo.com;
  • Early access to a selection of promotions: the details and timings will be indicated in the dedicated communication;

Discounts associated with any status are not applicable online on websites other than www.miamo.com.

Medspa reserves the right to modify the aforementioned benefits during the Program, providing adequate information to the Participants.

7.1 Maintaining the status

To obtain a "status", the Participant must accumulate the necessary points during the calendar year.

If GOLD or PLATINUM status was reached during the previous calendar year to that of the current Program, to maintain it also for 2024 the Participant must have made at least one (1) points upload deriving from a purchase by March 31, 2024 as provided by the previous regulations.

Points deriving from reviews and/or other promotional activities not linked to the alphanumeric code contained in the packaging of products included in the Program are indeed not considered useful for maintaining the status.

8. PRIZE FUND

The Promoting Party has estimated to distribute prizes for a total prize fund of 500,000 € (VAT included), subject to adjustment at the end of the operation.

9. MODES OF DELIVERY OF PRIZES

The request for the prize by the entitled persons must be made through their Reserved Area of this website www.miamo.com.

The request for free products or the use of points to pay for their own purchases are exclusively at the expense of the Participants in the initiative; in case the Participant does not exercise this right within the terms provided by the mechanics exposed in this regulation, the Promoter cannot in any case be called into question.

Physical prizes will be delivered free of charge to the entitled persons.

Under the regulation concerning prize manifestations, the prizes will be delivered within 180 days from the request for the same.

10. FRAUDULENT USE

In case of violation of these regulations or fraudulent use of the loyalty program by the Participant or third parties acting on their behalf, Medspa reserves the right to freeze, deactivate, and delete the account without any notice or compensation, particularly in the case of an unusually high number of alphanumeric codes entered on the same day or on consecutive days.

Medspa reserves the right to verify compliance with these regulations at any time and to condition the reactivation of an account on the presentation of proof of purchase of the products in case of suspicion of fraud.

11. RIGHT TO MODIFY

Any changes that, respecting the rights acquired by the Participant, should be made to the regulation and the terms and conditions of participation during the course of the activity will be promptly communicated to the recipients with the same modes of public communication reserved for these regulations.

12. MISCELLANEOUS

The collection of participants' data will occur in compliance with Legislative Decree 196/2003 and European Regulation EU/2016/679. For more information and to view the Privacy Policy, please visit the dedicated page on the website www.miamo.com/privacy-policy.

The Program will be conveyed through local and national online media. The advertising/communication will conform to this document, which will be made available to Customers on the website www.miamo.com.

Any changes will be made known in time, also through the update of these Regulations. The applicable version in force and, therefore, applicable to the Participant is the one available on www.miamo.com.

Medspa assumes no responsibility for events not attributable to it, such as, by way of example and not exhaustively: access, hindrance, dysfunction or difficulties concerning technical tools, the computer, cables, electronics, software and hardware, the transmission and connection, the telephone line that may prevent the consumer from participating in this Program.

Participation in the Program is conditional on compliance with the Regulations. The Participant may in no way falsify or manipulate data concerning their participation in the Program, nor issue certificates or provide false or misleading information in order to procure benefits to which they are not entitled.

Any other reason that may lead to suspicion of fraud with respect to the explicit purposes of these Regulations will entitle Medspa to not fulfill what is provided for. The Participant will nevertheless receive explanations of the reasons that will have prompted Medspa to take such a measure.

13. CONTESTATIONS

Any dispute or request relating to the Program must be received by the Customer Service within and not later than the final deadline of 15 days from the day the event giving rise to the dispute or request occurred. In no case can Medspa be called to answer to the Participant for any non-performance or for any damage arising from the goods obtained by the Participant under the Program, particularly in the case where the Participant has not complied in accordance with these conditions.

14. APPLICABLE LAW AND COMPETENT COURT

Any dispute relating to the execution or interpretation of the Regulations will be governed by Italian law and for any dispute concerning the interpretation and/or execution and/or resolution of the terms and conditions provided for therein, the Court of Milan will have jurisdiction.

If a provision of the Regulations is judged invalid by a competent court, the nullity of such provision will not affect the validity of the other provisions of the Regulations, which will remain in force.
