TERMS AND CONDITIONS FOR JOINING THE MIAMO LOVERS LOYALTY PROGRAM 2022 - 2023

MEDSPA S.r.l. with its registered office in MILAN (MI) – Corso Sempione, 17, Fiscal Code and VAT Number 0322950061 (hereinafter "Medspa") announces the "MIAMO LOVERS" program (hereinafter the "Program") specifying below the terms and conditions of participation (hereinafter the "Terms and Conditions").

1. PROGRAM

1.1. The Program offers the opportunity to accumulate points to all customers who purchase certain* Miamo products, at all authorized retailers in Italy, online retailers, and the Miamo online shop. The accumulated points can be used to purchase Miamo products on the Miamo online shop at the following address https://miamo.com/prodotti.html or converted into vouchers, for use at participating pharmacies in Italy. *Currently excluded from point collection are the following products: AHA/BHA Gentle Rose Micellar Vitamin Complex Skin Detox Menoreact Vitamin D3 2000 IU Radiance Foam Cleanser Hydra Soft Creamy Cleanser Hand Cream Crio Spray Any gift set Any gadget Any Travel Size (mini sizes, vials etc.)

1.2. Joining the program is free. Simply register your account on the website www.miamo.com or through other channels communicated by Medspa from time to time. The account and the points accumulated therein are strictly personal and are not transferable to third parties; a customer may register only one account containing their personal data; therefore, it is not possible to register multiple times with fictitious names/nicknames. Multiple participations will be considered irregular, consequently, they will not entitle to the accumulation of points and the control systems will take care of their cancellation.

1.3. Membership in the program is not allowed for minors under 18 years of age, residents outside the European Economic Area, and legal persons. The customer guarantees the correctness of all information provided and is solely responsible for it.

1.4. For registration purposes, it is mandatory to provide an email address at which to receive communications related to the Program. During registration for the Program, the customer will be asked for credentials: "username" (corresponding to the email address) and "password"; necessary in order to access their personal area.

1.5. Medspa reserves the right to exclude customers from the Program if the lack of the aforementioned requirements is subsequently detected. Should the registration or participation in the Program no longer adhere to these Terms and Conditions, Medspa also reserves the right to revoke the customer's registration and delete the accumulated and yet unused points at the time the revocation is communicated, as well as to cancel any previously obtained and yet unused rewards.

1.6. The customer enrolled in the Program may participate in all dedicated offers.

1.7. Points accumulated by the customer are recorded on the relevant balance, available in the logged area of the website www.miamo.com. It is the customer's responsibility to check the status of their points balance.

1.8. The program also provides a customer status system respectively Silver, Gold, and Platinum better specified in the following.

2. DISPUTES

2.1. Any disputes or requests related to the Program must be sent to the Customer Service at the indicated email, within a final deadline of 15 days from the day on which the event that gave rise to the dispute or request occurred.

2.2. Under no circumstances will Medspa be liable to the customer for any non-compliance or for any damage resulting from the goods obtained by the customer under the Program, particularly in the case where the customer has not complied with these conditions.

3. POINTS

3.1. Points are accumulated through the purchase of participating products, listed in the appendix to the Program. The appendix may be updated based on new products that may be introduced into the market from time to time. Products listed in paragraph 1.1 are excluded from the Program.

3.2. To obtain credit for points related to purchases of participating products at authorized retailers or authorized e-commerce platforms other than the site www.miamo.com, and also from the site miamo.com, the customer must enter the unique 16-character alphanumeric code found inside or on the box of the purchased product, as explained in the dedicated point upload section of the personal area, also specifying the mode of purchase in the said section of the website.

3.3. Points will be accumulated at a ratio of 1 to 1 based on the recommended retail price by Medspa, not taking into account any discounts applied; for example, the purchase of a product for 100 euros will entitle you to 100 points, likewise a product priced at 80 euros, discounted from 100 euros, will still entitle you to 100 points. The value of the points corresponds to 10% of the value of the product purchased, calculated on the recommended retail price by Medspa, not taking into account any discounts applied: The value of the points will always be rounded down to the nearest whole number. The points that can be used online on the website www.miamo.com can never exceed 50% of the final price of the product intended to be purchased: Product Recommended Retail Price Estimated Price to Pay Maximum Usable Points Value Product A 88 € 88 € 44 € Product B 89 € 75 € 37€ Should the cart contain multiple products, the value of the accumulated points that can be used cannot exceed 50% of the combined final prices of the products intended to be purchased. Should the cart contain the purchase of "product combinations" (e.g., short treatment) the value of the accumulated points that can be used cannot exceed 50% of the final value dedicated to the "product combination".

3.4. The customer can also accumulate 20 points by leaving reviews on purchased registered products, up to a maximum of 1 review per product purchased.

3.5. Medspa reserves the right to organize promotional initiatives by which to grant points on different terms than those provided by these Terms and Conditions. Such initiatives will be announced on the website www.miamo.com and/or in communications from the Program also via email.

3.6. Used points will be deducted from the total points owned by the account, up to zeroing. The customer can independently decide when to use the accumulated points. Therefore, it is possible to conclude a purchase without using the accumulated points if the customer does not decide, at the time of purchase, to use them by indicating the number within the limits of those accumulated and of 50% of the value of the "cart" price.

3.7 Points can also be converted at a rate of 10 to 1 (10 points = 1 €) into vouchers redeemable at authorized pharmacies for the purchase of MIAMO® and NUTRAIUVENS® branded products. The voucher can have a value from 1 to a maximum of 200€. It is usable on the occasion of a single purchase, is not divisible, and does not give right to change in the case it is used against a purchase of value lower than that of the voucher itself. At authorized pharmacies, the voucher can therefore be used to cover the total price of the products without the 50% limit. If the value of the voucher does not reach the price of the products, the customer will have to pay the pharmacy the difference. Vouchers can be canceled upon request to Miamo Customer Service no later than a week from the date of generation. The cancellation of the voucher results in the re-crediting of the related points. Vouchers have a validity of three months from the date of generation. In the absence of use within this expiration term, the voucher will be automatically canceled and cannot be used.

4. MIAMO STATUS

4.1. Below are described the criteria for point accumulation and the respective discounts/promotions for each of the statuses outlined in article 1.

4.2. Silver: This status is dedicated to all customers who register for the Program and entitles them to 1 point for every €1 of products purchased up to a maximum of €299. This status also entitles the holder to the "additional privileges" mentioned in article 5 of these Terms and Conditions.

4.3. Gold: Customers who reach a total purchase amount of €300 or more during the calendar year at all authorized retailers in Italy, online retailers, and the Miamo online shop, will qualify for Gold status. Gold status will be recognized within a week of reaching the necessary purchase threshold to access this status. To reach the 300 points necessary for Gold status, it is necessary that the alphanumeric codes found inside the product packaging be uploaded as previously described. Points earned through reviews and those accumulated in additional initiatives published by the Company during the validity period of these Terms and Conditions are also considered qualifying points towards achieving this status.

This status entitles the holder to a fixed discount of 10% on all products, not combinable with ongoing promotions (including special period promotions such as Black Friday, Mother's Day, etc.), and not combinable with the "additional privileges" mentioned in article 5 of these Terms and Conditions: meaning that where one of these privileges applies, the application of the latter will prevail over the application of the 10% discount.

To maintain their Gold status for the next calendar year after achieving the status, the customer must upload points from product purchases from January 1st to March 31st of the following calendar year.

As the potential loss of status approaches, Medspa will send the customer a communication notifying them of the potential loss of the same. If the customer does not adjust their spending amounts to those required to maintain the status, they will be reassigned to the immediately preceding status (Silver).

4.4. Platinum: Customers who reach a total purchase amount of €1000 or more during the calendar year at all authorized retailers in Italy, online retailers, and the Miamo online shop, will qualify for Platinum status. Platinum status will be recognized within a week of reaching the necessary purchase threshold to access this status.

To reach the 1000 points necessary for Platinum status, it is necessary that the alphanumeric codes found inside the product packaging be uploaded as previously described. Points earned through reviews and those accumulated in additional initiatives published by the Company during the validity period of these Terms and Conditions are also considered qualifying points towards achieving this status.

This status entitles the holder to a fixed discount of 20% on all products, not combinable with ongoing promotions (including special period promotions such as Black Friday, Mother's Day, etc.), and not combinable with the "additional privileges" mentioned in article 5 of these Terms and Conditions: meaning that where one of these privileges applies, the application of the latter will prevail over the application of the 20% discount.

To maintain their Platinum status for the next calendar year after achieving the status, the customer must upload points from product purchases from January 1st to March 31st of the following calendar year.

As the potential loss of status approaches, Medspa will send the customer a communication notifying them of the potential loss of the same. If the customer does not adjust their spending amounts to those required to maintain the status, they will be reassigned to the immediately preceding status (Gold).

4.5. Medspa reserves the right to modify the aforementioned benefits and advantages at its sole discretion during the course of the Program, providing adequate information to the customer with sufficient advance notice.

5. ADDITIONAL PRIVILEGES

5.1. The statuses described above also confer additional privileges throughout the duration of the Program:

5.2. Silver:

  • A unique "welcome" discount code of 15% applicable to product prices, not combinable with ongoing promotions and with the "additional privileges" mentioned in this article;
  • A unique "birthday" discount code of 20% applicable to product prices, also combinable with some ongoing promotions (excluding special period promotions such as Black Friday, Women's Day, etc.), but not combinable with the "additional privileges" mentioned in this article. Medspa reserves the right to specify which promotions the discounts can be combined with;
  • An extra selection of 3 samples of choice, available when purchasing online on miamo.com;
  • A special unique "miss you" discount code of 15% applicable to product prices, combinable with ongoing promotions (excluding special period promotions such as Black Friday, Mother's Day, etc.), but not combinable with the "additional privileges" mentioned in this article.

5.3. Gold:

  • A unique "birthday" discount code of 20% applicable to product prices, also combinable with some ongoing promotions (excluding special period promotions such as Black Friday, Women's Day, etc.), but not combinable with the fixed 10% discount mentioned in article 4 and with the "additional privileges" mentioned in this article. Medspa reserves the right to specify which promotions the discounts can be combined with;
  • An extra selection of 5 samples of choice, available when purchasing online on miamo.com;
  • Exclusive information about Miamo products;
  • A 2-day preview of new Miamo products;
  • Free shipping on purchases made on the Miamo online shop;
  • A special unique "miss you" discount code of 20% applicable to product prices, combinable with ongoing promotions (excluding special period promotions such as Black Friday, Mother's Day, etc.), but not combinable with the fixed 10% discount mentioned in article 4 and with the "additional privileges" mentioned in this article.

5.4. Platinum:

  • A unique "birthday" discount code of 25% applicable to product prices, also combinable with some ongoing promotions (excluding special period promotions such as Black Friday, Mother's Day, Women's Day, etc.), but not combinable with the fixed 20% discount mentioned in article 4 and with the "additional privileges" mentioned in this article. Medspa reserves the right to specify which promotions the discounts can be combined with;
  • An extra selection of 7 samples of choice, available when purchasing online on miamo.com;
  • Exclusive information about Miamo products;
  • A 5-day preview of new Miamo products;
  • Free shipping on purchases made on the Miamo online shop;
  • Personalized consulting with Miamo operators;
  • Invitations to exclusive Miamo events;
  • A special unique "miss you" discount code of 25% applicable to product prices, combinable with ongoing promotions (excluding special period promotions such as Black Friday, Mother's Day, etc.), but not combinable with the fixed 20% discount mentioned in article 4 and with the "additional privileges" mentioned in this article.

6. SPENDABILITY OF POINTS

6.1. The points accumulated in the Program can be used by the customer, the sole holder, in 2 ways.

6.2. Online use on miamo.com: the customer can spend their points online, on miamo.com for the purchase of all available products (except the Miamo GiftCard) with a points-to-euro ratio of 10 to 1, meaning that each customer is entitled to one euro of discount on the purchase for every 10 points accumulated. When purchasing on the Miamo online shop, the customer can choose to immediately use their points to reduce the amount of spending, up to a maximum of 50% of the total cart, or keep the points in their balance.

6.3. Generation of a voucher usable at participating pharmacies: the customer can decide to generate a voucher from their personal area, and use it for the purchase of Miamo products at pharmacies participating in the Program. To generate the voucher, the customer must log in, enter their reserved area, and use the special "generate voucher" function. The amount of the voucher is given by the ratio of 1 to 10, that is, every 10 points equal 1€ of discount. Once the voucher is generated, the customer receives a QR code via email to show in the pharmacy to obtain the discount. The maximum amount that can be generated per voucher is 200€. The voucher is valid for 3 months from the date of online generation. The Voucher is not refundable in cash but can be canceled within a week of its creation by contacting Miamo Customer Service. From the eighth day following the generation, the Voucher will no longer be cancelable.

7. DURATION OF THE PROGRAM

7.1. The point collection will have an annual duration, running from January 1 to December 31.

7.2. The customer may use the points by no later than March 31 of the following year. After this date, the accumulated and unclaimed points will be zeroed and no longer usable. In such case, any obligation of any kind of refund by Medspa to the Customer is excluded. These Terms and Conditions and therefore the Program are valid until April 21, 2024. After this date, the current regulations and therefore the Program will no longer be effective except for the possibility of Medspa to extend it for the period of time it will communicate. Points accrued during the validity of the Program may be accumulated and used according to these regulations until no later than the validity of the Program. Medspa reserves the right to extend the regulations and the Program, giving due notice.

8. MISCELLANEOUS

8.1. The collection of participant data will be carried out in compliance with Legislative Decree 196/2003 and European Regulation EU/2016/679. For more information and to view the Privacy Policy, please visit our website www.miamo.com/privacy-policy.

8.2. The Program will be conveyed through local and national online media. The advertising/communication will conform to this document, which will be made available to customers on the website www.miamo.com. Any changes will be made known to the consumer in a timely manner, also by updating these Terms and Conditions. The applicable version of the Terms and Conditions in force, and therefore applicable to the customer, is the one available on www.miamo.com. Medspa invites the customer to periodically check www.miamo.com for the latest version of the Terms and Conditions.

8.3. Medspa assumes no responsibility for events not attributable to it, such as, but not limited to: access, hindrance, malfunction or difficulty regarding technical tools, the computer, cables, electronics, software and hardware, the transmission and connection, the telephone line that may prevent the consumer from participating in the present Program.

8.4. The customer's participation in the Program is conditioned upon compliance with all these Terms and Conditions. The customer may in no way falsify or manipulate the data concerning their participation in the Program, nor issue false or misleading statements or information in order to obtain undue benefits.

8.5. Any other reason that may raise suspicion of fraud regarding the explicit purposes of this Promotion will entitle Medspa not to fulfill what is provided. The customer, following a request, will nevertheless have explanations of the reasons that led Medspa to take such action.

9. APPLICABLE LAW AND COMPETENT JURISDICTION

9.1. Any dispute relating to the execution or interpretation of the Terms and Conditions is governed by Italian law, and any dispute concerning the interpretation and/or execution and/or resolution of the General Terms and Conditions will be subject to the jurisdiction of the court of Milan.

9.2. Should any provision of the Terms and Conditions be judged invalid by a competent court, the nullity of such provision will not affect the validity of the remaining provisions of the Terms and Conditions, which will remain in force.
