MIAMO LOVERS 2025 LOYALTY PROGRAM

1. GENERAL CONDITIONS AND MIAMO LOVERS 2025 LOYALTY PROGRAM
Definitions

Terms and expressions with initials in capital letters are defined as follows, unless otherwise specified:

Promoter: is MEDSPA S.r.l. with registered office in MILAN (MI) – Corso Sempione, 17 Fiscal Code and VAT number 0322950061

General Program Conditions: these are the general conditions.

Miamo Lovers 2025 Loyalty Program in brief also “Program”: is the loyalty program managed by the Promoter, governed by the General Program Conditions, aimed at regulating the Customer Status of the Participant who intends to purchase Miamo® and Nutraiuvens® brand products.

Participants: all participating individuals, private individuals, purchasers of Miamo® and Nutraiuvens® brand products, adults, resident in Italy and/or the Republic of San Marino. Purchases with invoice by professional users with VAT number (reseller) are excluded.

Customer Status: these are the three different statuses of this Program as described below

Territorial scope: the Program is aimed at Participants who intend to purchase Miamo® and Nutraiuvens® brand products:

• online on the website www.miamo.com;
• on the websites of authorized third-party retailers;
• at authorized retailers (Physical points of sale) in the national territory and the Republic of San Marino.

2. JOINING THE MIAMO LOVERS 2025 LOYALTY PROGRAM

Joining the Program is free and entails the Participant's total and unconditional acceptance of the General Conditions of the Program without any limitation.

To join the Program, you must register.

Registration, reserved only for adult Participants residing in Italy or the Republic of San Marino, can be done exclusively online on the website www.miamo.com by entering the data requested during registration.

By completing the registration process, the Participant will declare his/her majority without any verification obligation by the Promoter.

To validate his/her registration, it will be necessary to confirm his/her e-mail address, through the link that will be sent after completing the registration form to the declared e-mail address.

Without confirmation, the registration will not be completed and the registration will be considered as not carried out.

Upon registration, the Participant will receive a confirmation e-mail.

The mandatory data required for registration purposes are the following:

• Name
• Surname
• Number Mobile
• Date of birth
• E-mail
• Password

Each Participant must also accept the terms and conditions of the Program (mandatory consent) and express his/her marketing consent (optional consent). Multiple registrations will not be accepted.

It is the Participant's sole responsibility to update the mandatory data that are subject to change.

It is forbidden for the same Participant to make multiple registrations with different email addresses and/or telephone numbers and/or fictitious names and surnames.

In the event of violation of this last provision, the Promoter reserves the right to exclude the Participant from the Program with consequent cancellation of the customer statuses attributable to the same Participant.

Those who are already registered in the previous loyalty program will be automatically considered registered in this Program as well.

3. PROGRAM STATUSES

The Program provides the possibility of reaching three different Customer Statuses, two of which can be reached based on certain amounts relating to purchases made and correctly registered on your profile by validating the alphanumeric code associated with the Miamo® and Nutraiuvens® brand products listed at the following link https://miamo.com/media/wysiwyg/miamo/elenco-prodotti-promozionati.pdf).

The program statuses are as follows:

• SILVER: status assigned upon registration to the Program
• GOLD: within a maximum of 24 hours of reaching on your user profile at least 300 euros (gross of any discounts and net of any shipping costs) of registered purchases of Miamo® and Nutraiuvens® brand products as per the aforementioned link
• PLATINUM: within a maximum of 24 hours of reaching on your user profile at least 1000 euros (gross of any discounts and net of any shipping costs) of registered purchases of Miamo® and Nutraiuvens® brand products as per the aforementioned link

To register purchases, the Participant must access their personal area on the website www.miamo.com and enter, in the dedicated section, the unique 16-character code contained or printed inside the package, also specifying the purchase method. The registration of the purchase will be considered finalized exclusively following the completion of the registration procedure described. Therefore, the date of completion of the registration procedure will be valid and not the actual date of purchase.

For the purposes of the purchase registration procedure, all Miamo® and Nutraiuvens® brand products that contain the 16-character alphanumeric code valid for the purposes of registering the purchase are considered valid. The code may alternatively be printed on a card contained in the product packaging or printed inside the packaging.

All statuses give the right to accumulate points and, therefore, to participate in the “COLLECTION OF POINTS MIAMO LOVERS 2025” prize operation in the terms and conditions of the relevant regulation published on the website www.miamo.com. Each level is granted incremental benefits, as specified below.

The statuses provided by the Program and the related benefits are as follows:

SILVER STATUS

Entitles you to

1 Welcome Bonus of 15% valid on the first purchase on the website www.miamo.com or at the physical points of sale of authorized retailers, not combinable with other ongoing promotions
20% discount relating to a single transaction on the occasion of your birthday, not combinable with other ongoing promotions, for purchases/orders made on the website www.miamo.com or at the physical points of sale of authorized retailers;
Up to 3 free samples on each order made on the website www.miamo.com;
Get early access to a selection of promotions: details and timing will be indicated in the dedicated communication;

GOLD STATUS

Entitles you to

10% discount valid on all orders/purchases made on the website www.miamo.com or at the physical points of sale of authorized retailers, not combinable with other ongoing promotions;
20% discount on a single transaction on your birthday, not combinable with other ongoing promotions, for purchases/orders made on the website www.miamo.com or at the physical points of sale of authorized retailers;
Free shipping on orders placed on the website www.miamo.com;
Up to 5 free samples on each order placed on the website www.miamo.com;
Get early access to a selection of promotions: details and timing will be indicated in the dedicated communication;

PLATINUM STATUS

Entitles you to

20% discount valid on all orders/purchases made on the website www.miamo.com  or at the physical sales points of authorized retailers, not combinable with other ongoing promotions
25% discount relating to a single transaction on the occasion of your birthday, not combinable with other ongoing promotions, for purchases/orders made on the website www.miamo.com or at the physical sales points of authorized retailers;
Free shipping on online orders placed on the website www.miamo.com;
Up to 7 free samples on each online order on www.miamo.com;
Early access to a selection of promotions: the details and timing will be indicated in the dedicated communication;

Discounts associated with any status are not applicable online on sites other than the website www.miamo.com.

Medspa reserves the right to modify the aforementioned benefits during the course of the Program, giving adequate information to the Participants.

The GOLD and PLATINUM statuses achieved in the calendar year 2024 will also be confirmed for the year 2025 only and exclusively in the event that the Participant makes a purchase registration of any amount between January 1, 2025 and March 31, 2025. In the event of inactivity, Participant persons will be downgraded to the immediately preceding status except in the case of SILVER status, this being the entry status.

4. DURATION

This Program will be valid for the entire calendar year 2025, from January 1, 2025 to December 31, 2025.

5. PROCESSING OF PERSONAL DATA

The Participant's personal data collected with the Membership to the Loyalty Miamo Lovers 2025 Program will be processed by MEDSPA S.r.l. with registered office in MILAN (MI) – Corso Sempione, 17 Fiscal Code and VAT number 0322950061 for the following purposes:

1. for the management of the Loyalty Miamo Lovers 2025 Program as well as for the attribution of benefits strictly connected to the aforementioned program;

2. direct marketing initiatives (sending advertising material, free gifts, free samples, communications of promotions on products similar to those purchased);

3. conducting market research and analysis of purchasing and consumption habits (creation of customer profiles) also through communications sent by email, post, SMS and/or telephone.

For the purposes referred to in the previous point 1, consent to the processing of such data is not necessary pursuant to art. 6, first paragraph, letter b), it is instead necessary to acquire specific consent from the Participant, pursuant to art. 6, letter a), GDPR for the purposes referred to in the previous points 2 and 3. Consent for such processing is optional with the consequence that the Participant may decide not to provide consent, while still being able to join the Miamo Lovers 2025 Loyalty Program.

The data will be processed using computer and paper tools and protected at each stage of processing by adopting appropriate security measures.

The personal data provided may be made accessible, pursuant to article 13 of the GDPR:

- to employees, collaborators and consultants of MEDSPA s.r.l;

- commercial partners and service providers;

- subjects or companies responsible for the management and maintenance of the IT and web platform of the website www.miamo.com external suppliers through which the services are provided sending of advertising and promotional material for which consent has been given;

- to subjects, bodies or authorities to whom the communication of your personal data is mandatory by law or by order of the authorities.

The Data will be stored (in electronic or paper archives) for the entire duration of membership/participation in the Miamo Lovers 2025 Loyalty Program and for administrative purposes only (without prejudice to specific legal obligations on the retention of accounting documentation pursuant to art. 2220 of the Civil Code) for the following 12 months, or until the possible revocation of the Participant's consent.

The Customer may exercise at any time the rights referred to in art. 7 of the Privacy Code and art. 15 et seq. of Regulation (EU) 2016/679 (including, by way of example, obtaining confirmation of the existence of data concerning the Customer and their communication in an intelligible form, the indication of the origin of the data, the purposes and methods of processing, the updating, rectification or integration of the data, the cancellation, transformation into anonymous form or blocking of personal data processed in violation of the law and the right to object, in whole or in part, to their use), by writing to the registered office in Milan (MI), Corso Sempione n. 17, or by sending an email to privacy@medspa.it

At any time, the Customer may object to the processing of his/her data, including the email address, for the sending of advertising material, direct sales, market research or commercial communications by the Joint Controllers, by sending a communication to the addresses listed above.

Please note that the revocation of consent for the processing of data for which it is requested does not affect the lawfulness of the processing based on consent before the revocation.

6. RIGHTS RESERVED TO MEDSPA AND MISCELLANEOUS

Medspa reserves the right to modify the General Program Conditions at any time and will inform the Participant of any modification in the manner it deems most appropriate (for example by post, e-mail, on miamo.com, at authorized retailers, Stores...). The applicable version of the General Program Conditions in force and, therefore, applicable to the Participant is the one available on www.miamo.com. Medspa invites the Participant to periodically check the latest version of the General Program Conditions on www.miamo.com.

All modified versions of the General Program Conditions are applicable from their publication on the website www.miamo.com.

Medspa may suspend or interrupt, temporarily or permanently, the Program, for any reason at its sole discretion.

The suspension or interruption of the Loyalty Miamo Lovers 2025 Program will come into effect from the date of its publication on the miamo.com website.

The Participant is informed of any suspension or interruption of the Miamo Lovers 2025 Loyalty Program by sending an email or text message informing him and inviting him to connect to the miamo.com website.

The suspension or termination of the Miamo Lovers 2025 Loyalty Program will not give the right to any type of compensation in favor of the member.

Medspa is exempt from any liability, from any consequence, direct or indirect, due to any malfunctions of the Miamo Lovers 2025 Loyalty Program. However, it will make every reasonable effort to safeguard its regular functioning.

Medspa assumes no responsibility for events not attributable to it, such as, by way of example and not limited to: access, impediment, malfunction or difficulty regarding technical tools, computers, cables, electronics, software and hardware, transmission and connection, telephone line that may prevent the consumer from participating in this Program.

Participation in the Loyalty Miamo Lovers 2025 Program is subject to compliance with the General Conditions. The Participant may not in any way falsify or manipulate the data regarding his/her participation in the Program, nor issue certifications or provide false or misleading information in order to obtain benefits not due to him/her.

Any other reason that may lead to the suspicion of fraud with respect to the explicit purposes of this Program will entitle Medspa not to comply with the provisions. The Participant, following a request, will in any case have explanations of the reasons that have led Medspa to take such action.

7. APPLICABLE LAW and JURISDICTION

Any dispute relating to the execution or interpretation of the General Program Conditions is governed by Italian law and for any dispute relating to the interpretation and/or execution and/or termination of the General Program Conditions, the court of residence of the Participant will be competent.

If a provision of the General Program Conditions is deemed invalid by a Court of competent jurisdiction, the invalidity of such provision does not affect the validity of the other provisions of the General Program Conditions, which remain in force.
